Limited Warranty
By downloading or installing the SOFTWARE, you are consenting to be bound by Canopus Corporation's License Agreement and this Limited Warranty. Canopus Corporation ("Canopus") warrants that the enclosed PRODUCT MEDIA will be free of defects under normal use for ninety (90) days from the date of purchase or delivery to Customer for purchases made through an authorized Canopus dealer or through the Canopus Web site. Except for the foregoing, the SOFTWARE is provided AS IS; Customer bears the entire risk of the quality and performance of the goods, and Customer assumes the entire cost of all necessary servicing or repair for defects. This limited warranty extends only to the Customer, who is the original licensee. Customer's sole and exclusive remedy and the entire liability of Canopus and its distributors under this limited warranty will be, at Canopus's option, replacing the PRODUCT MEDIA with a performing copy of the PRODUCT MEDIA within a reasonable time after receiving notification of the defect or refunding the purchase price of the SOFTWARE and terminating the License Agreement. In no event does Canopus warrant that the SOFTWARE is error-free or that Customer will be able to operate the SOFTWARE without problems or interruptions. If you desire to contact Canopus regarding defective PRODUCT MEDIA, please see our Web site at www.canopus.com. Please also see the Canopus Web site at www.canopus.com for SOFTWARE or support questions. Restrictions. This limited warranty does not apply if the PRODUCT MEDIA (a) has been altered, except by Canopus, (b) has not been installed, operated, repaired or maintained in accordance with instructions supplied by Canopus, (c) has been subjected to abnormal physical or electrical stress, misuse, negligence, or accident. This limited warranty does not apply to the Software.

EXCEPT AS SPECIFIED IN THIS WARRANTY, ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OR WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, SATISFACTORY QUALITY OR ARISING FROM A COURSE OF DEALING, LAW, USAGE, OR TRADE PRACTICE, ARE HEREBY EXCLUDED TO THE EXTENT ALLOWED BY APPLICABLE LAW. TO THE EXTENT AN IMPLIED WARRANTY CANNOT BE EXCLUDED, SUCH WARRANTY IS LIMITED IN DURATION TO THE WARRANTY PERIOD. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. General T erms Applicable to the Limited Warranty Statement and Software License
Disclaimer of Liabilities. IN NO EVENT WILL CANOPUS OR ITS DISTRIBUTORS BE LIABLE FOR ANY LOST REVENUE, PROFIT, OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY ARISING OUT OF THE USE OF OR INABILITY TO USE SOFTWARE EVEN IF CANOPUS OR ITS DISTRIBUTORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall Canopus's or its distributor's liability to Customer, whether in contract, tort (including negligence), or otherwise, exceed the price paid by Customer. The foregoing limitations shall apply even if the above-stated warranty fails of its essential purpose. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW LIMITATION OR EXCLUSION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. The Limited Warranty and the Software License shall be governed by and construed in accordance with the laws of the State of California, without reference to principles of conflict of laws. If any portion hereof is found to be void or unenforceable, the remaining provisions of the Limited Warranty and the Software License shall remain in full force and effect. Except as expressly provided herein, the Software License constitutes the entire agreement between the parties with respect to the license of the Software and supersedes any conflicting or additional terms contained in a purchase order.
USB Hardware Key

ProCoder 2.0 is copyright protected by a USB HARDWARE KEY that must be installed before using the SOFTWARE. The USB HARDWARE KEY is covered by a manufacturer's warranty for a period of one (1) year from the date of purchase. If you have any problems with your USB HARDWARE KEY, please contact Canopus Technical Support. This limited warranty extends only to the Customer, who is the original licensee. Customer's sole and exclusive remedy and the entire liability of Canopus and its distributors under this limited warranty will be, at Canopus's option, replacing the USB HARDWARE KEY with a performing copy of the USB HARDWARE KEY if it stops functioning and does not have signs of intentional tampering or physical damage. If there are signs of damage to the USB HARDWARE KEY, the Customer will be charged a nominal fee for a replacement and must return the damaged USB HARDWARE KEY before a replacement can be issued. This warranty does not cover USB HARDWARE KEYS that are lost, stolen or damaged by "acts of God."
